Partner Terms & Conditions

These Partner Terms & Conditions ("Partner Agreement") govern participation in the LLM Ready Partner Program, including the Referral Partner track and the White-Label Agency track. By applying to, being accepted into, or participating in the Partner Program, you ("Partner") agree to be bound by this Agreement and our general Terms of Service.

LLM Ready reserves the right to modify this Agreement at any time. Continued participation after the effective date of changes constitutes acceptance.

1. Eligibility & acceptance

Participation in the Partner Program is by application and approval only. LLM Ready reserves the right to accept or reject any application at its sole discretion, without obligation to provide a reason. Approval is not guaranteed and may be revoked at any time if a Partner breaches this Agreement or our general Terms of Service.

Partners must be at least 18 years of age, legally authorized to enter into contracts, and operating a legitimate business or content channel. Partners may not be direct competitors of LLM Ready.

2. Commission structure

Commission rates, tier thresholds, and bonus structures are defined in the Partner Dashboard and may be updated by LLM Ready with 30 days' notice to active partners. The rates displayed in your Partner Dashboard at the time a referral converts are the rates that apply to that conversion.

• Commissions are earned on net revenue — after discounts, refunds, and payment processing fees
• Commissions are not earned on purchases made by the Partner themselves, their employees, or their immediate family members
• LLM Ready may offer promotional commission rates for limited periods; these are clearly labeled in the Partner Dashboard
• Commissions on subscription renewals are subject to the rate schedule in effect at the time of renewal

3. Attribution & cookie duration

LLM Ready tracks referrals using a combination of browser cookies and URL parameters. Partner referral cookies have a duration of 90 days from the date of the referred visitor's first click on a Partner link.

• Attribution is assigned to the last Partner click within the cookie window (last-click attribution model)
• If a visitor clears their cookies or uses a different device or browser before converting, attribution may not be tracked
• LLM Ready does not guarantee attribution in all technical circumstances; our tracking data is considered final for commission calculation purposes
• Partners may not use cookie stuffing, forced clicks, or any technique designed to artificially claim attribution

4. Payment terms

Commission payments are processed on a monthly schedule, typically within the first 15 business days of the following calendar month, subject to:

• A minimum payout threshold as specified in your Partner Dashboard (Partners below the threshold carry their balance forward)
• A 30-day hold period on new commissions to account for refund and chargeback windows
• Completion of required tax documentation (W-9 for US partners, W-8BEN for international partners)
• A valid and verified payment method on file in the Partner Dashboard

LLM Ready may withhold payment if fraud, policy violations, or disputes are under investigation. Withheld commissions will be released or forfeited upon resolution. Partners are responsible for all taxes on commissions earned. LLM Ready does not withhold taxes on partner payments unless required by law.

5. Code of conduct

Partners agree to represent LLM Ready honestly and professionally. The following standards apply:

• Only make claims about LLM Ready's products and services that are accurate and substantiated
• Clearly disclose your affiliate relationship with LLM Ready in all promotional materials, in compliance with applicable law (including FTC guidelines for US partners)
• Do not represent yourself as an employee, agent, or spokesperson of LLM Ready
• Do not make earnings claims or guarantees on behalf of LLM Ready
• Maintain a professional and respectful tone in all content involving LLM Ready
• Promptly correct any errors or inaccuracies in promotional materials upon request

6. Prohibited activities

The following activities are strictly prohibited and will result in immediate termination and forfeiture of pending commissions:

• Self-referrals — Using your own referral link to purchase LLM Ready products for yourself or your business
• Fake or incentivized conversions — Creating artificial traffic, false accounts, or paid-to-click schemes
• Cookie stuffing — Placing affiliate cookies on users' browsers without a genuine click
• Spam — Sending unsolicited emails or messages containing your referral link
• Misleading advertising — Creating ads, landing pages, or content that misrepresents LLM Ready's products, pricing, or capabilities
• Trademark bidding — Bidding on "LLM Ready" or confusingly similar branded keywords in paid search advertising without prior written approval
• Coupon fraud — Publishing or distributing unauthorized promotional codes
• Brand impersonation — Creating websites, social profiles, or materials that could be confused with official LLM Ready properties

7. Intellectual property & brand usage

LLM Ready grants Partners a limited, non-exclusive, non-transferable license to use approved brand assets (logos, screenshots, product descriptions) solely for the purpose of promoting the Partner Program. This license:

• Does not permit modification of the LLM Ready logo or brand assets
• Does not permit use of brand assets in a way that implies endorsement beyond the Partner Program
• Terminates immediately upon termination of this Agreement

All intellectual property created by LLM Ready remains our exclusive property. Partners acquire no ownership rights through participation in the program.

9. Liability & disclaimers

LLM Ready's liability to any Partner is limited to the amount of unpaid commissions owed at the time of any claim. LLM Ready is not liable for:

• Lost earnings due to tracking failures, browser restrictions, or cookie deletion
• Revenue loss caused by changes to commission rates (subject to notice requirements)
• Loss of referral credit due to a referred customer's refund or chargeback
• Indirect, consequential, or speculative damages of any kind

Partners are independent contractors, not employees, agents, or representatives of LLM Ready. Nothing in this Agreement creates a joint venture, partnership, or employment relationship.

Partners are solely responsible for compliance with all applicable laws in their jurisdiction, including disclosure requirements, tax obligations, and advertising regulations.

10. Governing law & disputes

This Agreement is governed by the laws of the jurisdiction in which LLM Ready is incorporated, without regard to conflict of law principles. Any dispute arising from this Agreement shall be resolved through binding arbitration, except where prohibited by applicable law.

Partners waive the right to participate in class-action proceedings related to the Partner Program.
